Under the coordination of the General Counsel, the Senior Legal Counsel ensures the operational execution of the Group’s legal files. Their responsibilities include:
Ü Operational Management of the Legal Secretariat: Prepare and follow up on statutory meetings of the Holding and subsidiaries.
Contractual Security : Drafting and revising legal documents, contracts and correspondence.
Ü Litigation and Recovery Monitoring: Ensuring daily contact with external advisors and recovery agencies.
Ü Monitoring and Compliance: Ensuring the continued validity of corporate mandates and the application of OHADA regulations.
Legal Secretariat and Formalities
- Prepare draft minutes (PV) for Board of Directors and General Assemblies.
- Carry out the registration and modification procedures with the RCCM through notaries and court clerks.
- Maintain and update social registers (minutes register, register of beneficial owners, etc.).
- Follow the procedures for obtaining court orders to hold statutory meetings.
Legal Drafting and Consulting
- Review employment contracts and internal memos for staff of the Holding and subsidiaries.
- Drafting agreements (loans, share transfers, memoranda of understanding, etc.).
- To issue legal opinions on specific cases.
Management of Disputes and Debt Collection
- Prepare evidence files and monitor court proceedings with lawyers.
- Participate in working sessions with debtors and negotiate recovery protocols.
Support for Restructuring
- Carry out the documentary research work (articles of association, RCCM…) necessary for the dissolution of inactive companies.
To ensure continuous monitoring of the expiry of directors’ mandates in order to anticipate renewals.
QUALIFICATIONS AND EXPERIENCE
Ü Diploma: Hold a BAC+5 in Business Law, Private Law or equivalent.
Experience: Minimum 5 years of professional experience, ideally acquired in a law firm, notary’s office or legal department of a diversified group.
