EMRALD SECURITIES SERVICES, a leading financial and investment group in the CEMAC capital markets, is recruiting a Legal Manager for its subsidiary EMRALD SECURITIES SERVICES MICROFINANCE (ESS MICROFINANCE), based in Douala, Cameroon.
Mission:
The Legal Manager ensures the institution’s legal and regulatory compliance. As a Category 2 microfinance institution under the supervision of COBAC and operating within the framework of OHADA law, the Legal Manager ensures the legal security of activities, manages litigation, and ensures compliance with applicable legal obligations in Cameroon and the CEMAC region.
Responsibilities:
• Guarantee the legal compliance of all the institution’s activities.
• Manage litigation and relationships with lawyers and legal organizations. • Ensure the application of OHADA law, business law, and current COBAC regulations . • Prepare and validate legal documents submitted to regulatory authorities (COBAC, Ministry of Finance). • Advise the General Management on strategic legal matters. • Ensure ongoing legal and regulatory monitoring related to the status of a Category 2 microfinance institution (MFI). • Draft, analyze, and validate commercial contracts, agreements, and institutional arrangements. • Prepare legal and regulatory documents for submission to supervisory authorities. • Manage litigation cases and coordinate the interventions of external legal counsel. • Ensure legal monitoring and updating of regulatory documentation. • Advise internal departments on operational legal issues. • Participate in contract negotiations and administrative procedures. • Develop and disseminate internal procedures regarding legal compliance. REQUIREMENTS • Bachelor’s degree (Bac+4/5) in Business Law, Banking Law, Public Law, or equivalent. • Specialization in OHADA law, financial regulation law, or microfinance law is an asset. • Minimum 5 years’ experience in business law, banking law, or microfinance law. • Experience in the microfinance or financial sector preferred. • Experience in litigation management and relations with regulatory authorities.
